Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
As previously disclosed, on July 29, 2026, the Nasdaq Hearings Panel (the “Panel”) notified Genprex, Inc. (the “Company” or “Genprex”) that the Panel had granted the Company’s request to continue the Company’s listing on The Nasdaq Capital Market (“Nasdaq”) and grant an exception to demonstrate compliance with the $1.00 Minimum Bid Price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Requirement”).
 
On August 4, 2026, the Company was formally notified that the Panel determined that the Company has regained compliance with the Bid Price Requirement. The Panel further informed the Company that until December 7, 2026, which represents the full extent of the Panel’s discretion in this matter with respect to the Bid Price Requirement, the Company must maintain a closing bid price at or above $1.00 for each trading day; and the Panel will maintain jurisdiction over the Company until December 7, 2026.  In the event the Company becomes non-compliant with any other Listing Rule between now and December 7, 2026, the Company will be allowed seven calendar days to advise the Panel on its plan to cure the deficiency.  The Panel will, at that time, determine whether to grant the Company an exception to cure the deficiency or delist the Company.
