Arctic Fish Holding AS: Cancellation of subsequent offering

Reference is made to the stock exchange announcements by Arctic Fish Holding AS (the "Company") on 20 and 21 August 2025 regarding the EUR 35 million private placement. The private placement was approved by the Company's general meeting on 4 September 2025. As stated in such announcements, the Company would consider a subsequent offering towards shareholders who did not participate in the Private Placement, depending on, among others, development in the market price of the Company's shares in the period following announcement of the private placement.
The subscription price in the private placement was set at the closing trading price of the shares on Euronext Growth Oslo on the day prior to announcement of the private placement. In the two-week period following this announcement, the Company's shares have been trading at prices on or around the subscription price in the private placement. Accordingly, financial dilution is limited and shareholders have had the chance to acquire shares at prices on or below the subscription price. The Company's two largest shareholders represent more than 85% of the shares in the Company, and a subsequent offer would thus not affect the voting majority in the Company. Further, a subsequent offering would be below EUR 1 million as a prospectus would involve large costs and resources.
For these reasons, the Board of Directors has resolved not to proceed with the subsequent offering.
