(Oslo, Norway, 13 July 2022) Reference is made to the stock exchange announcement by Arribatec Group ASA (“Arribatec” or the “Company”) on 27 June 2022 regarding the approval and publication of a prospectus (the "Prospectus") and commencement of the subscription period in the subsequent offering of up to 20,000,000 new shares in the Company (the “Subsequent Offering Shares”) at a subscription price of NOK 0.50 per share (the "Subsequent Offering").
The subscription period for the Subsequent Offering expired on 12 July 2022 at 16:30 (CEST). By the end of the subscription period, the Company had received valid subscriptions for a total of 3,625,153 Subsequent Offering Shares. A total of 3,625,153 Subsequent Offering Shares have been allocated by the Company's board of directors in accordance with the allocation criteria set out in the Prospectus.
Notifications of allocated Subsequent Offering Shares in the Subsequent Offering and the corresponding amount to be paid by each subscriber will be set out in a separate notification to each subscriber to whom Subsequent Offering Shares have been allotted. The notifications are expected to be sent today. The due date for payment of allocated Offer Shares is 18 July 2022.
Subject to timely payment of the Subsequent Offering Shares by the subscribers in the Subsequent Offering, registration of the share capital increase pertaining to the Subsequent Offering, issuance and registration of the Subsequent Offering Shares in the VPS, the Subsequent Offering Shares will be delivered to the VPS accounts of the subscribers to whom they are allocated on or about 26 July 2022.
