    <p style="text-align: center;"><b>KWESST Micro Systems Inc. Announces Pricing of Public Offering and Nasdaq Listing</b></p>
    <p style="text-align: justify;">Ottawa - December 6, 2022 - KWESST Micro Systems Inc. (Nasdaq: KWE, KWESW) (TSXV: KWE) (the "Company" or "KWESST") today announced the pricing of an underwritten U.S. public offering of 2,500,000 units, each consisting of one common share and one warrant to purchase one common share at a price to the public of USD $4.13 per unit. The warrants have a per share exercise price of USD $5.00, can be exercised immediately, and expire five years from the date of issuance. The common shares and warrants that are part of the units can only be purchased together in the offering but will be issued separately.<font style="background-color: #ffffff;">&#160;</font>In addition, the Company has granted the underwriter a 45-day option to purchase up to an additional 375,000 common shares and/or pre-funded common share purchase warrants and/or 375,000 warrants to purchase common shares to cover over-allotments, if any.</p>
    <p style="text-align: justify;">In a simultaneous underwritten Canadian offering, the Company will be issuing 726,392 units, each consisting of one common share and one warrant to purchase one common share, at a price to the public of USD $4.13 per unit (the "Canadian Offering"). The warrants will have a per common share exercise price of USD $5.00, are exercisable immediately and expire five years from the date of issuance.&#160; The aggregate gross proceeds from both offerings will be approximately USD $13,325,000, before deducting underwriting discounts and offering expenses.</p>
    <p style="text-align: justify;">KWESST intends to use the aggregate net proceeds for working capital, including commercial roll-out of PARA OPS in the United States, and for the repayment of certain outstanding loans and other general corporate purposes. KWESST may also use of a portion of the net proceeds for acquisitions or strategic investments in complementary businesses or technologies.</p>
    <p style="text-align: justify;">The common shares of KWESST and the warrants to be issued in the U.S. public offering, are expected to begin trading on the Nasdaq Capital Market on December 7, 2022 under the symbols "KWE" and "KWESW", respectively. The US public offering and the Canadian Offering are expected to close on December 9, 2022, subject to satisfaction of customary closing conditions.</p>
    <p style="text-align: justify;">ThinkEquity is acting as sole book-running manager for the U.S. public offering and PI Financial is acting as sole book-running manager for the Canadian Offering.</p>

    <p style="text-align: justify;">Each Unit is comprised of one common share in the capital of the Company and a common share purchase warrant (a "<b>Warrant</b>").     <p style="text-align: justify;"><b>December 7, 2022 -</b> Ottawa - KWESST Micro Systems Inc. (Nasdaq: KWE, KWESW) (TSXV: KWE) (FSE: 62U) ("<b>KWESST</b>" or "the <b>Company</b>") today announced that it has entered into share for debt arrangements with existing lenders, subject to the closing of the U.S. public offering, the pricing for which was announced on December 6, 2022.&#160; This will result in issuing 56,141 units (the "<b>Units</b>") to&#160; settle loans in an aggregate amount of USD$232,112, including unpaid accrued interest (the "<b>Debt Settlements</b>"). Each Unit is comprised of one common share in the capital of KWESST and one common share purchase warrant (a "<b>Warrant</b>"). Each Warrant will entitle its holder to purchase one additional common share of KWESST for a period of five years from closing at an exercise price of US$5.00 per share.</p>
    <p style="text-align: justify;">The Board of Directors and Management of KWESST believe that the Debt Settlements are in the best interests of KWESST as it will help it preserve its cash position. The Units, as well as the common shares and Warrants, to be issued pursuant to the Debt Settlements will be subject to a four-month hold period pursuant to applicable securities regulations and the policies of the TSX Venture Exchange (the "<b>TSXV</b>").</p>
    <p style="text-align: justify;">The Debt Settlements are subject to the closing of the Company's U.S. public offering (see KWESST's press release dated December 6, 2022) and to regulatory approval, including that of the TSXV.</p>
    <p style="text-align: justify;">Additionally,<b> </b>as disclosed in our new release dated April 25, 2022, KWESST has engaged RedChip Companies ("<b>RedChip</b>") to lead its investor relations ("<b>IR</b>") efforts.&#160; RedChip is a word leader in investor relations, financial media, and research for microcap and small-cap stocks.&#160; It is a private company headquartered in Orlando, Florida, with affiliates in New York and Pittsburgh.&#160; RedChip services to KWESST include the development of IR strategy and the IR components of KWESST's website, oversight of press releases and conference scripts, CEO video interviews, periodic investor roadshow meetings, and daily outbound calls to family offices, analysts, portfolio managers, and high net worth investors. The term of the agreement with RedChip, an arm's length party to KWESST, is for 12 months from April 25, 2022.&#160; RedChip has no interest, directly or indirectly, in KWESST or its securities, or any right or intent to acquire such an interest in KWESST.</p>
    <p style="text-align: justify;">As a result of the above appointment of RedChip, KWESST has terminated its investors relations services agreements with Hybrid Financial Ltd. ("<b>Hybrid</b>") and AGORACOM. KWESST entered into an agreement on November 24, 2020 with Hybrid, an arm's length sale and distribution company on behalf of clients in the financial services industry, to provide marketing, market awareness and corporate broker services. KWESST initially entered into an agreement on September 17, 2020, with AGORACOM, an arm's length party headquartered in Toronto ON, which provides an online marketplace and forum for citizens for the small-cap investment community, as part of its Qualifying Transaction on the TSXV.</p>

    <p style="text-align: justify;"><b>December 9, 2022</b> - OTTAWA, ONTARIO - KWESST Micro Systems Inc. (Nasdaq: KWE, KWESW) (TSXV: KWE) (the "Company" or "KWESST") today closed its previously announced underwritten U.S. public offering (the "U.S. Offering") and underwritten Canadian offering (the "Canadian Offering"). In the U.S. Offering, the Company sold 2,500,000 units at a public offering price of USD $4.13 per unit, consisting of one share of common stock and one warrant to purchase one share of common stock ("Warrant"). The Warrants have a per share exercise price of USD $5.00, can be exercised immediately, and expire five years from the date of issuance. In connection with the closing of the U.S. Offering, the underwriter has exercised its over-allotment option to purchase an additional 199,000 pre-funded common share purchase warrants and 375,000 warrants to purchase common shares. The underwriter has retained the right to exercise the balance of its over-allotment option within the 45-day period.</p>
    <p style="text-align: justify;">In the Canadian Offering, the Company sold 726,392 units, each consisting of one common share and one warrant to purchase one common share, at a price to the public of USD $4.13 per unit. The warrants will have a per common share exercise price of USD $5.00, are exercisable immediately and expire five years from the date of issuance.</p>
    <p style="text-align: justify;">The common shares of KWESST and the Warrants sold in the U.S. Offering began trading on the Nasdaq Capital Market under the symbols "KWE" and "KWESW", respectively, on December 7, 2022.</p>
    <p style="text-align: justify;">The aggregate gross proceeds to the Company from the U.S. Offering and Canadian Offering were approximately USD $14,145,000, before deducting underwriting discounts and offering expenses.</p>
    <p style="text-align: justify;">KWESST intends to use the aggregate net proceeds for working capital, including commercial roll-out of PARA OPS in the United States, and for the repayment of certain outstanding loans and other general corporate purposes. KWESST may also use of a portion of the net proceeds for acquisitions or strategic investments in complementary businesses or technologies.</p>
    <p style="text-align: justify;">ThinkEquity acted as sole book-running manager for the U.S. Offering and PI Financial acted as sole book-running manager for the Canadian Offering.</p>
    <p style="text-align: justify;">As consideration for the services provided in connection with the US Offering, ThinkEquity received: (a) a broker-dealer cash commission of approximately US$835,000 equal to 7.5% of the gross offering proceeds of the U.S. Offering and (b) underwriter warrants (the "Underwriter Warrants") to purchase up to 134,950 common shares equal to 5% of the common shares and pre-funded common share purchase warrants issued under the U.S. Offering. Each Underwriter Warrant is exercisable to acquire one common share at a price of US$5.1625, exercisable as of June 4, 2023 and expiring December 4, 2027.</p>

Each Compensation Option is exercisable to acquire one Canadian Unit at a price of US$4.13 for a period of two years after the closing of the Canadian Offering.</p>

    <p style="text-align: justify;">Ottawa - December 9, 2022 - KWESST Micro Systems Inc. (Nasdaq: KWE, KWESW) (TSXV: KWE) (the "Company" or "KWESST") today closed its previously announced underwritten U.S. public offering (the "U.S. Offering") and underwritten Canadian offering (the "Canadian Offering"). In the U.S. Offering, the Company sold 2,500,000 units at a public offering price of USD $4.13 per unit, consisting of one share of common stock and one warrant to purchase one share of common stock ("Warrant"). The Warrants have a per share exercise price of USD $5.00, can be exercised immediately, and expire five years from the date of issuance. In connection with the closing of the U.S. Offering, the underwriter has exercised its over-allotment option to purchase an additional 199,000 pre-funded common share purchase warrants and 375,000 warrants to purchase common shares. The underwriter has retained the right to exercise the balance of its over-allotment option within the 45-day period.</p>
    <p style="text-align: justify;">In the Canadian Offering, the Company sold 726,392 units, each consisting of one common share and one warrant to purchase one common share, at a price to the public of USD $4.13 per unit. The warrants will have a per common share exercise price of USD $5.00, are exercisable immediately and expire five years from the date of issuance.</p>
    <p style="text-align: justify;">The common shares of KWESST and the Warrants sold in the U.S. Offering began trading on the Nasdaq Capital Market under the symbols "KWE" and "KWESW", respectively, on December 7, 2022.</p>
    <p style="text-align: justify;">The aggregate gross proceeds to the Company from the U.S. Offering and Canadian Offering were approximately USD $14,145,000, before deducting underwriting discounts and offering expenses.</p>

    <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font>In Q4 of FY 2022, KWESST was awarded its first digitization contract for the public safety market.&#160; The initial contract, for $500,000 before a $56,000 in-kind contribution, is to develop and implement, in conjunction with our project partner Counter Crisis-Technology Inc. ("CC-T"), a national Ground Search and Rescue Incident Command System (GSAR ICS) for Public Safety Canada&#160; Under the contract, KWESST and CC-T are creating a Search And Rescue (SAR) planning, operations management and situational awareness system that incorporates a SAR plug-in application for the TAK Team Awareness Kit (TAK).&#160; TAK, developed by the U.S. military, is increasingly the preferred software system throughout NATO for enabling real-time shared situational awareness. "We believe this project represents the type of opportunities available to us," said Rick Bowes, Vice-President of Digitization and Tactical Services at KWESST.&#160; "After-action and media reports on critical incidents, including mass shootings, consistently report that the number one problem is a lack of real-time situational awareness communication among responders.     <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font>KWESST has continued to receive orders for future military digitization development from GDMS-C) during the current quarter and expects this to be ongoing as the productive collaboration between the two companies on future soldier systems continues to grow. In the spring of 2022, the companies showcased a first concept of a future soldier system at CANSEC, the premier Canadian defense show in Ottawa.&#160; A next phase in the evolution of these future soldier systems will be showcased at CANSEC 2023, Ottawa, May 31<sup>st</sup> - June 1<sup>st</sup>.&#160; Though each individual order from GDMS-C is modest in dollar size (varying from USD$100,000 to USD$300,000), the cumulative value over time is expected to grow, not to mention the strategic value of GDMS-C as an industry partner.&#160;</p>
    <p style="text-indent: 36pt; text-align: justify;"><b>New joint digitization venture with Thales and Modis</b></p>
    <p style="text-indent: 36pt; text-align: justify;">KWESST has entered into a joint venture with Thales Canada Inc. ("Thales") and Modis Canada Inc. ("Modis"), both major defence contractors, for a multi-million dollar and multi-year Canadian defence contract opportunity for specialized software development and integration solutions for the Canadian Army.&#160; As a contractual joint venture, the three companies will combine their respective expertise in the Canadian and international defence Command, Control, Communications, Computers, Intelligence, Surveillance and Reconnaissance (C4ISR) domain. The Company stated that beyond the dollar amounts involved and the multi-year visibility on revenue, this would embed KWESST as a key player in the digital defence ecosystem, positioning it for many additional opportunities.&#160; In conjunction, KWESST is expediting accelerating an upgrade of its facilities and key personnel to Top Secret clearance level to qualify for the joint venture opportunity.&#160; The results should be known in the first calendar quarter of 2023.</p>
    <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font><b>Qualification under DND Supply Arrangement and co-venture with Persistent Systems </b></p>
    <p style="text-indent: 36pt; text-align: justify;">Subsequent to KWESST's press release of May 24<sup>th</sup>, 2022 announcing its Authorized Integrator designation by Persistent Systems LLC ("Persistent") of New York, NY, KWESST qualified in the current quarter as a supplier to the Canadian Department of National Defence (DND) under the "Miscellaneous Communications Equipment" Supply Arrangement.&#160; Under this contracting vehicle, KWESST and Persistent will now combine their respective products and services to offer integrated tactical communications, networking, and software systems integration solutions to various customers in DND. Through this Supply Arrangement, DND can procure a variety of equipment and support services from KWESST in support of C4ISR .&#160; The term of the Supply Arrangement runs to March 31, 2027.&#160;</p>

    <p style="text-indent: 36pt; text-align: justify;">In the current quarter KWESST also received a first order from an overseas NATO country for its BLDS laser detection system.&#160; "This first order, long-anticipated and now received, reflects demand for a solution against an electronic threat on the modern battlefield: lasers that paint an invisible electronic bullseye on soldiers and their assets, and lasers that have been weaponized to blind personnel on the battlefield," said David Luxton."&#160; This order is for Special Forces who will be battle-testing the system in operational conditions, with expected&#160; follow-on requirements.&#160;</p>

    <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font>The Company's long-anticipated PARA OPS products will be launched at the 2023 SHOT Show in Las Vegas, NV January 17-20.&#160; There will be live-firing demonstrations and meetings with trade representatives from the tactical industry across the U.S. and around the world.&#160; The Company expects to begin taking first orders at this annual trade-only event, the largest of its kind in the world.&#160;</p>
    <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font>The new PARA OPS five-shot device will be showcased at the SHOT Show, along with a PARA OPS shotgun. Like all PARA OPS firing devices they are designed to fire only PARA OPS cartridges, which prevents accidental or deliberate attempts to fire live, lethal ammunition.&#160; "We are excited that PARA OPS has already attracted the interest of brand-name firearms manufacturers who understand the place and the value of a product like this in the global non-lethal marketplace;" said Jim Drager, head of the Company's PARA OPS program. The PARA OPS shotgun was developed by a well-known partner firearms manufacturer.&#160;</p>
    <p style="text-align: justify;"><font style="width: 36pt; display: inline-block;">&#160;</font>The Company's non-lethal ARWEN 37mm launcher will also be on view at the SHOT Show.&#160; KWESST acquired ARWN in December 2021 for its market and technology synergies with PARA OPS and has grown ARWEN revenues year-over-year by almost 100% and expects a strong continued growth trajectory.</p>
