<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0 0 8pt">On March 25, 2021, Movano Inc. (the &ldquo;Company&rdquo;) reported
that Dr. John Mastrototaro, a current member of the Company&rsquo;s Board of Directors, will join the Company as Chief Executive Officer,
effective April 1, 2021. As previously described in the final prospectus, dated March 22, 2021 (the &ldquo;Prospectus&rdquo;), relating
to the Registration Statement on Form&nbsp;S-1&nbsp;(File No.&nbsp;333-252671), as amended, and Registration Statement on Form S-1MEF
(File No. 333-254602), filed with the Securities and Exchange Commission on March 24, 2021, pursuant to Rule 424(b) under the Securities
Act of 1933, as amended, Michael Leabman, the Company&rsquo;s current Chief Executive Officer will transition to the role of Chief Technology
Officer in connection with Dr. Mastrototaro&rsquo;s appointment as the Company&rsquo;s Chief Executive Officer.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0">Dr. John Mastrototaro, age 60, has served as a director of the Company
since December&nbsp;2020. Dr.&nbsp;Mastrototaro has over 30&nbsp;years of experience in the medical device industry, leading innovation
and bringing new products to the market. Dr.&nbsp;Mastrototaro joins the Company from Orthosensor, Inc., where he has served as the Chief
Operating Officer of Orthosensor, Inc. since 2017. Previously, Dr.&nbsp;Mastrototaro spent the majority of his career with Medtronic,
PLC. and MiniMed, Inc., where he was instrumental in initiating and leading a series of firsts in the world of diabetes, including the
ambulatory continuous glucose monitoring system, the sensor augmented insulin pump and the early generations of the artificial pancreas.
Prior to joining Orthosensor, Dr. Mastrototaro was Medtronic&rsquo;s first VP of Informatics from 2013 to 2017, a role in which he helped
develop a corporate strategy for the use of data and analytics to improve healthcare delivery. During his tenure in Medtronic&rsquo;s
Diabetes division, Dr. Mastrototaro held a number of positions, including CTO, VP of R&amp;D and Business Development and Global VP of
Clinical Research and Health Affairs.&nbsp;Dr. Mastrototaro started his career with Eli Lilly. He holds a B.A.&nbsp;in Mathematics and
Physics from Holy Cross College and M.S. and Ph.D. in Biomedical Engineering from Duke University.&nbsp;</P>

offering (the &ldquo;Offering&rdquo;) of 9,775,000 shares of its common stock at a price to the public of $5.00 per share, which
includes the exercise in full by the underwriters of their option to purchase from the Company an additional 1,250,000 shares of
the Company&rsquo;s common stock. The gross proceeds to the Company from the Offering were $48,875,000, before deducting underwriting
discounts and commissions and estimated offering expenses payable by the Company.</P>

shall also have the power to adopt, amend or repeal the Bylaws of the Corporation; PROVIDED, HOWEVER, that, in addition to any
vote of the holders of any class or series of stock of the Corporation required by law, a Certificate of Designation or by this
Certificate of Incorporation, the amendment of the Bylaws by the Corporation&rsquo;s stockholders shall require the affirmative
vote of the holders of at least two-thirds (66 2/3%) of the voting power of all of the then outstanding shares of the capital stock
of the Corporation entitled to vote generally in the election of directors, voting together as a single class.</P>

books of the Corporation may be kept at such place within or without the State of Delaware as the Bylaws of the Corporation may
provide or as may be designated from time to time by the Board of Directors of the Corporation.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">SEVENTH: Subject to the rights of any
series of Preferred Stock, no action shall be taken by the stockholders of the Corporation except at a duly called annual or special
meeting of stockholders of the Corporation and no action shall be taken by the stockholders by written consent. Special meetings
of stockholders may be called only on the order of a majority of the Whole Board, the Chairman of the Board, the Chief Executive
Officer or the President (in the absence of a chief executive officer). Advance notice of stockholder nominations for the election
of directors of the Corporation and of business to be brought by stockholders before any meeting of stockholders of the Corporation
shall be given in the manner provided in the Bylaws of the Corporation. Business transacted at special meetings of stockholders
shall be confined to the purpose or purposes stated in the notice of meeting.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">NINTH: No director of the Corporation
shall be personally liable to the Corporation or its stockholders for monetary damages for breach of fiduciary duty as a director,
for any act or omission, except that a director may be liable (i) for breach of the director&rsquo;s duty of loyalty to the Corporation
or its stockholders, (ii) for acts or omissions not in good faith or that involve intentional misconduct or a knowing violation
of law, (iii) under Section 174 of the DGCL, or (iv) for any transaction from which the director derived an improper personal benefit.
If the DGCL is amended to authorize corporate action further eliminating or limiting the personal liability of directors, then
the liability of the directors shall be eliminated or limited to the fullest extent permitted by the DGCL, as so amended. The elimination
and limitation of liability provided herein shall continue after a director has ceased to occupy such position as to acts or omissions
occurring during such director&rsquo;s term or terms of office. Any amendment, repeal or modification of this Article NINTH shall
not adversely affect any right of protection of a director of the Corporation existing at the time of such repeal or modification.</P>

the Corporation consents in writing to the selection of an alternative forum, the Court of Chancery in the State of Delaware shall
be the sole and exclusive forum for all &ldquo;internal corporate claims.&rdquo; &ldquo;Internal corporate claims&rdquo; means
claims, including claims in the right of the Corporation, (i) that are based upon a violation of a duty by a current or former
director or officer or stockholder in such capacity or (ii) as to which Title 8 of the Delaware Code confers jurisdiction upon
the Court of Chancery, except for, as to each of (i) through (ii) above, any claim as to which the Court of Chancery determines
that there is an indispensable party not subject to the jurisdiction of the Court of Chancery (and the indispensable party does
not consent to the personal jurisdiction of the Court of Chancery within ten days following such determination), which is vested
in the exclusive jurisdiction of a court or forum other than the Court of Chancery, or for which the Court of Chancery does not
have subject matter jurisdiction; provided, however, if (and only if) the Court of Chancery declines to accept jurisdiction over
a particular matter, the U.S. District Court for the District of Delaware shall be the sole and exclusive forum for all internal
corporate claims unless the Corporation consents in writing to the selection of an alternative forum; provided, however, if (and
only if) the U.S. District Court for the District of Delaware declines to accept jurisdiction over a particular matter, the Superior
Court of the State of Delaware (Complex Commercial Litigation Division) shall be the sole and exclusive forum for all internal
corporate claims unless the Corporation consents in writing to the selection of an alternative forum.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 1in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 1in">2. Unless

or entity or circumstance for any reason whatsoever, then, to the fullest extent permitted by law, the validity, legality and enforceability
of such provisions in any other circumstance and of the remaining provisions of this Article TENTH (including, without limitation,
each portion of any sentence of this Article TENTH containing any such provision held to be invalid, illegal or unenforceable that
is not itself held to be invalid, illegal or unenforceable) and the application of such provision to other persons or entities
and circumstances shall not in any way be affected or impaired thereby. Any person or entity purchasing or otherwise acquiring
any interest in any security of the Corporation shall be deemed to have notice of and consented to this Article TENTH.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 1in">&nbsp;</P>

prescribed by statute, and all rights conferred upon stockholders herein are granted subject to this reservation; provided, however,
that, notwithstanding any other provision of the Certificate of Incorporation or any provision of law that might otherwise permit
a lesser vote or no vote, but in addition to any vote of the holders of any class or series of the stock of the Corporation required
by law or by this Certificate of Incorporation, the affirmative vote of the holders of at least sixty-six and two-thirds percent
(66 2/3%) of the voting power of the outstanding shares of stock of the Corporation entitled to vote generally in the election
of directors, voting together as a single class, shall be required to amend or repeal, or adopt any provision of this Certificate
of Incorporation inconsistent with Article FIFTH, Article SIXTH, Article SEVENTH, Article NINTH, Article TENTH or this Article

certificate of incorporation, as amended, restated, supplemented or otherwise modified (the &ldquo;Certificate of Incorporation&rdquo;),
be called at any time by the order of a majority of the Whole Board, the Chairman of the Board, the Chief Executive Officer or
the President (in the absence of a chief executive officer), but such special meetings may not be called by any other person or
persons. Business transacted at any special meeting of stockholders shall be limited to the purposes stated in the notice. For
purposes of these bylaws, the term &ldquo;Whole Board&rdquo; shall mean the total number of authorized directors whether or not

state the place, if any, date and hour of the meeting, the means of remote communications, if any, by which stockholders and proxy
holders may be deemed to be present in person and vote at such meeting, the record date for determining the stockholders entitled
to vote at the meeting (if such date is different from the record date for stockholders entitled to notice of the meeting) and,
in the case of a special meeting, the purpose or purposes for which the meeting is called. Unless otherwise provided by law, the
Certificate of Incorporation or these bylaws, the notice of any meeting shall be given not less than ten (10) nor more than sixty
(60) days before the date of the meeting to each stockholder entitled to vote at the meeting as of the record date for determining
the stockholders entitled to notice of the meeting. If mailed, such notice shall be deemed to be given when deposited in the United
States mail, postage prepaid, directed to the stockholder at such stockholder&rsquo;s address as it appears on the records of the

shall be necessary and sufficient to constitute a quorum. In the absence of a quorum, then either (i) the chairperson of the meeting
or (ii) the stockholders so present (in person or by proxy) and entitled to vote may adjourn the meeting from time to time in the
manner provided in Section 1.4 of these bylaws until a quorum shall attend. Shares of its own stock belonging to the Corporation
or to another corporation, if a majority of the shares entitled to vote in the election of directors of such other corporation

or officers, or other person or persons, as may be so authorized (i) by the Board of Directors, or (ii) subject to such limitations,
if any, as the Board of Directors may impose, by the Chief Executive Officer. Such authority may be general or confined to specific
instances and, if the Board of Directors or Chief Executive Officer (whichever grants authority) so authorizes or otherwise directs,
may be delegated by the authorized officers to other persons. Unless otherwise provided in such resolution, any resolution of the
Board of Directors or a committee thereof authorizing the Corporation to enter into any such instruments or documents or authorizing

entered in the books of the Corporation and registered as they are issued. The issue of shares in uncertificated form shall not
affect shares represented by a certificate until the certificate is surrendered to the Corporation. Any certificates representing
shares of the Corporation&rsquo;s stock shall be in such form as may be prescribed by law and by the Board of Directors, certifying

in Section 6.3, the Corporation shall be required to indemnify a Covered Person in connection with a proceeding (or part thereof)
commenced by such Covered Person only if the commencement of such proceeding (or part thereof) by the Covered Person was authorized
in the specific case by the Board of Directors of the Corporation.</P>

by a Covered Person in defending any proceeding in advance of its final disposition, <I>provided</I>, <I>however</I>, that, to
the extent required by law, such payment of expenses in advance of the final disposition of the proceeding shall be made only upon
receipt of an undertaking by the Covered Person to repay all amounts advanced if it should be ultimately determined that the Covered
Person is not entitled to be indemnified under this Article VI or otherwise.</P>

the Covered Person may file suit to recover the unpaid amount of such claim and, if successful in whole or in part, shall be entitled
to be paid the expense of prosecuting such claim to the fullest extent permitted by law. In any such action the Corporation shall
have the burden of proving that the Covered Person is not entitled to the requested indemnification or advancement of expenses
under applicable law.</P>

entity shall be reduced by any amount such Covered Person may collect as indemnification or advancement of expenses from such other

and shall be given (1) if mailed, when notice is deposited in the U.S. mail, postage prepaid, (2) if delivered by courier service,
