(the “Company”), on March 19, 2026 (the “Original Report”). The Original Report was filed, among other things, to report the Company’s acquisition of Corvex Legacy Holdings, Inc., a Delaware corporation, formerly named Corvex, Inc. (“Corvex OpCo”), in accordance with the terms of the Amended and Restated Agreement and Plan of Merger, dated March 19, 2026 (the “Merger Agreement”), by and among the Company, Thor Merger Sub Inc., a Delaware corporation and a wholly-owned subsidiary of the Company (“Merger Sub”), and Corvex OpCo.
