Atlantic Sapphire ASA: Notice of Extraordinary General Meeting

Miami, FL, 9 September 2025

Reference is made to the stock exchange notice by Atlantic Sapphire ASA (the "Company") on 31 August 2025 regarding, inter alia, the contemplated raise of a new convertible loan of USD 31 – 35 million (the "Convertible Loan").

In order to formally approve the Convertible Loan, the Company's Board of Directors (the "Board") hereby calls for an extraordinary general meeting to be held digitally on 30 September 2025 at 16.00 CET. The Board has also proposed to approve updated guidelines for salary and other remuneration to leading personnel, to reduce the Company's share capital through reduction of the par value of the Company's shares and to grant and renew certain Board authorizations as well as propose a potential issue of independent subscription rights in connection with a contemplated long-term incentive program.
