&ldquo;<I>Company</I>&rdquo;) entered into a new venture through SG Residential, Inc., a Delaware corporation (&ldquo;<I>SG Residential</I>&rdquo;),
that will focus on the sales and financing of single-family container-based modular homes. The Company&rsquo;s wholly-owned subsidiary,
SG Building Blocks, Inc., will be the exclusive supplier of modular homes to SG Residential on an arm&rsquo;s length basis. Villarreal
Advisory Group, LLC, an Idaho limited liability company and the entity&rsquo;s other stockholder, holds a majority economic interest
in SG Residential. SG Building Blocks, Inc. has the right to appoint a majority of the directors of SG Residential and will manage
the entity&rsquo;s day to day operations.</P>

into a strategic partnership with senior financial services and housing market executives David Villarreal and Lee Shaw to form
SG Residential, which will focus on the sales and financing of single-family container-based modular homes.</FONT></P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 12.25pt 0.15in 0 0">SG Blocks will be the exclusive supplier of modular
homes and have a controlling interest in SG Residential. Its platform will allow new homebuyers and home builders to purchase container-based
modular homes and connect them to a network of funding sources and down payment assistance programs. The newly-established company
is already working with several developers on a pipeline of over 500 homes in targeted markets across the country.</P>

SG Residential and is a former deputy mayor in Los Angeles with more than 30 years as an executive in the mortgage banking industry.
