BEWI Invest AS ("BEWI Invest", ticker "BINT") has today sold 2,291,155 shares in KMC Properties ASA ("KMCP"), representing 46.30% of the issued shares and votes in KMCP, to Bekken Invest AS at a price per share of NOK 5.80 (the "Transaction"). Following completion of the Transaction, BEWI Invest will not own any shares in KMCP.
The reason for the Transaction is related to BEWI Invest triggering the obligation to present a mandatory offer pursuant to Section 6-6 of the Norwegian Securities Trading Act. In a stock exchange announcement published on KMCP's ticker "KMCP" on 18 August 2025, BEWI Invest notified that it would not present a mandatory offer but instead reduce its shareholding in KMCP in accordance with Section 6-9, cf.
