Morgan Stanley, Wilmington/Delaware, USA notified us pursuant to section 21
WpHG and pursuant to section 25 WpHG of the following:
1) Morgan Stanley notified us pursuant to section 21 WpHG of the following:
On March 21, 2014, Morgan Stanley fell below the threshold of 5% of the
voting rights in RHÖN-KLINIKUM AG, Salzburger Leite 1, 97616 Bad Neustadt
a. d. Saale, Germany. On that date, Morgan Stanley held 4.89% of the voting
rights in RHÖN-KLINIKUM AG arising from 6,762,896 voting rights. Of these
voting rights, a proportion of 4.52% (equals 6,250,957 voting rights) is
attributed to Morgan Stanley pursuant to section 22 para. 1 sent. 1 no. 1
WpHG and a proportion of 0.37% (equals 511,939 voting rights) is attributed
to Morgan Stanley pursuant to sec. 22 para. 1 sent. 1 no. 6 in connection
with sent. 2 WpHG (names of controlled undertakings: Morgan Stanley Capital
Management LLC; Morgan Stanley Domestic Holdings Inc.; Morgan Stanley & Co.
LLC).
2) Morgan Stanley notified us pursuant to section 25 WpHG of the following:
On March 21, 2014 Morgan Stanley fell below the threshold of 5% of the
voting rights of RHÖN-KLINIKUM AG, Salzburger Leite 1, 97616 Bad Neustadt
a. d. Saale, Germany. On that date, Morgan Stanley held 4.93% of the voting
rights in RHÖN-KLINIKUM AG (equals 6,816,082 voting rights).
From these voting rights a proportion of 4.89% (equals 6,762,896 voting
rights) is based on voting rights pursuant to sections 21, 22 WpHG and a
proportion of 0.04% (equals 53,186 voting rights) is based on (financial /
other) instruments pursuant to section 25 WpHG. From the voting rights
based on instruments pursuant to section 25 WpHG a proportion of 0.04%
(equals 53,186 voting rights) is held indirectly (chain of controlled
undertakings: Morgan Stanley Capital Management LLC; Morgan Stanley
Domestic Holdings Inc.; Morgan Stanley & Co. LLC). The instruments pursuant
to section 25 WpHG are retransfer claims based on various contracts that
can be exercised at the lenders discretion.
