COMPULSORY ACQUISITION – APPROVAL OF GUARANTEE

The Norwegian Financial Supervisory Authority (Nw: Finanstilsynet) has, in its capacity as take-over supervisory authority, approved payment guarantee pursuant to section 6-22 third sub-section no. 3 of the Norwegian Securities Trading Act in connection with the compulsory acquisition of shares in Crayon Group Holding ASA ("Crayon") without preceding mandatory offer. In this respect, the Norwegian Financial Supervisory Authority has also considered the other relevant conditions applicable for the exemption to present a mandatory offer pursuant to the Norwegian Securities Trading Act section 6-22 third sub-section.

SoftwareOne Holding AG ("SoftwareOne") has resolved to effect a compulsory acquisition of the remaining shares in Crayon not already held by SoftwareOne, pursuant to section 4-25 of the Norwegian Public Limited Liability Companies Act.

The price offered under the compulsory acquisition is NOK 144.7834 per share, which corresponds to the offer price in the recommended voluntary offer for all shares in Crayon.
Attached is a copy of the guarantee document issued by UniCredit Bank GmbH for the benefit of those that are subject to the compulsory acquisition. The guarantee document includes, amongst others, information on the deadline for presenting claims under the guarantee, the address for delivery of claims and the documentation that must be submitted.
