Deep Value Driller AS (the "Company") hereby calls for its annual general meeting to be held on Wednesday, 8 June 2022 at 16:00 CEST at the Company's offices at Munkedamsveien 45F, 8th floor, 0250 Oslo, Norway.
The notice of the general meeting, including the board's proposed resolutions and the notice of attendance and the proxy forms are attached to this notice. Shareholders are encouraged to attend the meeting by casting their votes in advance or granting a proxy to the chair of the board with voting instructions. See further details in the attached notice.
As set out in item 7 of the attached notice, the board proposes that Glen Ole Rødland is elected as a new member to the Company's board of directors.
Glen Rødland is an independent investor and is the chairperson and board member in ABL Group ASA, Prosafe SE, SES-X Marine Technologies AS and ATDL AS. He was a senior partner at HitecVision for four years, and for ten years was a partner and co-investor of Direct Active Investments in Ferncliff TIH AS. Rødland has worked for 15 years with portfolio management, financial analysis, and investment banking for DNB (Vital) and Swedbank (formerly First Securities and Elcon Securities). In addition, Rødland has served as chairperson of the board of directors in Seadrill Limited and Prospector Offshore Drilling and as board member in Standard Drilling. He has also worked in the shipping company Jebsens and as a management consultant in PWC. He has MBA and Post Graduate studies in Finance from NHH and UCLA. Rødland is a Norwegian citizen and resides in Bærum, Norway.
It is also proposed to issue warrants to Rødland as new board member of the Company as further detailed in item 8 of the proposed agenda.
