Entra Eiendom : Share capital increase and internal restructuring
Oslo, 30 October 2014 - Entra Eiendom AS ("Entra Eiendom" or the "Company", Oslo
Børs ticker symbol: "ENEID") announces share capital increase and internal
restructuring.
The board of directors of Entra Eiendom has resolved a share capital increase in
Entra Eiendom to strengthen the Company's equity. The share capital increase is
proposed carried out by setting off debt under an intra-group facility of Entra
ASA, which will provide the Company with a total of NOK 1.95 billion, divided on
NOK 1 000 in share capital and NOK 1 949 999 000 in share premium. After
completion of such share capital increase, the share capital of the Company will
be NOK 142 195 000, divided on one share having a par value of NOK 142 195 000.
In addition, the board of directors has resolved a demerger, expected to be
completed during January 2015. In the de-merger, 15 newly established companies
will be assigned ownership to 45 real estate properties currently held by Entra
Eiendom directly. The de-merger is an internal restructuring carried out to
obtain a more appropriate corporate structure. The de-merger is not expected to
have any material practical significance for employees, the Entra ASA group or
its creditors.
The newly established companies will at incorporation be held by Entra Eiendom's
parent company, Entra ASA, but will, immediately after the demerger comes into
effect, be transferred to become wholly owned subsidiaries of Entra Eiendom. The
transfer is contemplated to be carried out through a share capital increase in
Entra Eiendom directed towards Entra ASA, against Entra Eiendom receiving all
shares in the newly established companies as contribution in kind.
The share capital of Entra Eiendom will by completing the de-merger be reduced
from NOK 142 195 000 with NOK 27 403 425 to NOK 114 791 575 divided on one share
having a par value of NOK 114 791 575.
Subject to completing the de-merger and the transfer of the shares in the newly
established companies from Entra ASA to Entra Eiendom mentioned above, the share
capital of Entra Eiendom will be increased with NOK 27 403 425 to NOK
142 195 000 divided on one share having a par value of NOK 142 195 000.
In addition, and subsequent to the de-merger, the Company has resolved to carry
out a merger of its subsidiaries holding real estate properties that are part of
Tullinkvartalet in Oslo.
