Reference is made to the recommended voluntary cash offer by SAS Shipping
Agencies Services Sàrl (the "Offeror") to acquire all issued and outstanding
shares (the "Shares") of Gram Car Carriers ASA ("GCC" or the "Company") at a
cash consideration of NOK 263.69 per Share, as further set out in the offer
document dated 23 May 2024 (the "Offer Document").
The Offeror hereby announces an extension of the offer period under the Offer
(the "Offer Period") until 1 July 2024 at 16:30 (CEST).
The Offeror reserves its right, at its sole discretion, at any time and on one
or several occasions, to further extend the Offer Period on the terms and
conditions set out in the Offer Document. The Offer Period can under no
circumstances be extended beyond 16:30 (CEST) on 5 August 2024.
The extension of the Offer Period is made pursuant to Sections 4.2 (Offer
Period) and 4.9 (Amendments of the Offer) of the Offer Document. Acceptances of
the Offer already received by shareholders of the Company will remain binding
and there is no need for shareholders that have already accepted the Offer to
take any further actions to confirm their acceptance.
The Oslo Stock Exchange has, in its capacity as take-over supervisory authority
in Norway, approved the extension of the Offer Period and otherwise reviewed
this announcement prior to its publication.
Other than the amendment to the Offer Period made pursuant to this announcement,
all terms and conditions of the Offer, as set out in the Offer Document, remain
unchanged. The complete terms and conditions for the Offer, including procedures
for how to accept the Offer and detailed information regarding settlement, are
set out in the Offer Document, provided, however, that the Offer Period has been
extended as described herein.
The Offer can only be accepted on the basis of the Offer Document, which,
subject to regulatory restrictions in certain jurisdictions, has been sent to
all shareholders registered in the Company's shareholder register in Euronext
VPS as of 23 May 2024, and is available digitally at
www.dnb.no/markets/aksjer/emisjoner/oversikt-emisjoner/gramcar-forside, or may
be obtained free of charge during ordinary business hours at the offices of the
receiving agent for the Offer, DNB Markets, a part of DNB Bank ASA, at Dronning
Eufemias gate 30, N-0021 Oslo, Norway.
Completion of the Offer is subject to the fulfilment or waiver by the Offeror of
the closing conditions, as defined and further set out in Section 4.3
(Conditions for completion of the Offer) of the Offer Document.
The Offeror has received regulatory approvals from the relevant authorities in
Ukraine and Portugal. The Offeror is also confident that it will receive the
remaining approval from the Japan Fair Trade Commission in accordance with the
timeline communicated in the Offer Document, and thus that the closing condition
"Regulatory Approvals" will be satisfied.
The Offeror will send a separate stock exchange announcement with an update on
the level of acceptances received before trading on the Oslo Stock Exchange
opens tomorrow, 27 June 2024, due to ongoing counting of received acceptances.
As of the date of this announcement, the Offeror does not hold shares in the
Company.
