Oslo, Norway, 5 October, 2020 – Reference is made to Kahoot! AS' announcement made on 16 September 2020, regarding the acquisition of all shares in Actimo ApS ("Actimo"). The acquisition has now been completed and the initial consideration for the Actimo shares has been settled by a combination of cash and new Kahoot! shares to be issued. The Board of Directors of Kahoot! has accordingly resolved to increase the share capital of Kahoot! with NOK 111,496.30 by the issuance of 1,114,963 consideration shares to the shareholders of Actimo at a subscription price of NOK 46.82 per share in accordance with the Actimo share purchase agreement. The selling shareholders of Actimo have entered into lock-up agreements with Kahoot! pursuant to which the consideration shares are subject to lock-up for periods of up to two years from completion of the acquisition. Following this share issue there will be 400,605,226 issued and outstanding shares in Kahoot!
