Det vises til børsmelding publisert av Storm Real Estate ASA ("Selskapet") 14. desember 2020 vedrørende gjennomføring av rettet plassering på NOK 300 millioner ("Emisjonen") og allokering av 42 857 142 nye aksjer.
Aksjekapitalforhøyelsen knyttet til utstedelsen av de 42 857 142 nye aksjene er i dag vedtatt og registrert i Foretaksregisteret. Selskapets registrerte aksjekapital utgjør etter dette NOK 46 438 776,60, fordelt på 232 193 883 aksjer hver pålydende NOK 0,20.
Oppgjør for de nye aksjene forventes å være rundt 23. desember 2020 gjennom levering-mot-betaling (DVP), fasilitert gjennom en avtale om forskuttering mellom Selskapet og Tilretteleggerne.
De nye aksjene vil plasseres på separat ISIN (ISIN NO 0010915101) og vil ikke være omsettelige på Oslo Børs i påvente av (i) utløp av tilbudsperioden under det pliktige tilbudet beskrevet i børsmeldingene publisert 17. november 2020 og 22. desember 2020 (det "Pliktige Tilbudet") og (ii) godkjenning av et prospekt som vil publiseres av Storm Real Estate. De nye aksjene omfattes ikke av det Pliktige Tilbudet, og investorer som ble allokert aksjer i Emisjonen vil ikke kunne selge disse aksjene som del av det Pliktige Tilbudet. De nye aksjene er forventet å kunne omsettes på Oslo Børs innen slutten av januar 2021.
ABG Sundal Collier ASA og DNB Markets, en del av DNB Bank ASA er tilretteleggere (sammen «Tilretteleggerne») i forbindelse med Emisjonen.
