KMC Properties ASA – Resolution to issue new shares

Trondheim, 21 February 2022: Reference is made to KMC Properties ASA's (the "Company") stock exchange announcement published on 21 January 2022 regarding the acquisition of a herring production and cold storage facility in Rönnäng, Sweden (the "Transaction").

The board of directors of the Company has today, on 21 February 2022, pursuant to the resolution granted to it by the annual general meeting on 2 June 2021, resolved to issue 2,772,105 new shares in the Company to Klädesholmen Seafood AB as part of the settlement in the Transaction. The resolution to issue the 2,772,105 new shares entails an increase of the Company's share capital of NOK 554,421.

The subscription price for the new shares is NOK 10.8221 per share, which corresponds to the volume weighted average trading price of the Company's shares on Oslo Børs in the period from 10 January to 18 February 2022, being the 30 last trading days prior to, but not including, the day of this announcement.

Following the registration of the share capital increase with the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret), the Company's registered share capital will be NOK 56,928,729.80, divided into 284,643,649 shares, each with a nominal value of NOK 0.20.
