Approved prospectus

Reference is made to the private placement in Opera Software ASA (the
"Company") of 10 million new shares issued in connection with a private
placement for gross proceeds of NOK 800 million (the "Private
Placement"), cf. stock exchange announcement of 27 June 2014.

The Norwegian Financial Supervisory Authority (Nw. Finanstilsynet) has
approved the prospectus of the Company dated 11 August 2014, (the
"Prospectus"), for the listing of the 10 million new shares in the
Company, with a par value of NOK 0.02 each issued in the Private
Placement.

The Prospectus will be published on 12 August 2014 and will be available
at the following
websites: www.opera.com (http://www.opera.no/) and www.abgsc.com. Hard
copies of the Prospectus may be obtained by contacting ABG Sundal
Collier Norge ASA (+47 22 01 60 00).

Settlement of the new shares took place on 2 July 2014 and the new
shares were registered on a separate ISIN in anticipation of the
approval and publication of the Prospectus. The new shares will become
tradable when the Prospectus is published, and the Placement Shares have
been registered in the VPS under the Company's ordinary ISIN, expected
to take place on 12 August 2014. Participants in the Private Placement
have, however, been able to trade the shares subscribed for in the
Private Placement, due to the Company having entered into a loan
agreement with existing shareholders.

ABG Sundal Collier Norge ASA and Morgan Stanley & Co. International plc
to have acted as Joint Global Coordinators and Joint Bookrunners, and
DNB Markets, a part of DNB Bank ASA, and Goldman Sachs International
have also acted as Joint Bookrunners in connection with the Private
Placement.
