Notice of Annual General Meeting

The shareholders in Aker Philadelphia Shipyard ASA are invited to attend the
annual general meeting to be held on Tuesday 13 April 2010 at 09.00 hrs at Felix
Conference Centre, Bryggetorget 3, Aker Brygge, Oslo, Norway.

The Nomination Committee recommendations will be made public through a press
release and a notification to the Oslo Stock Exchange as soon as they are
finalized.

Please find attached the notice of annual general meeting in Aker Philadelphia
Shipyard ASA, the attendance ballot and the annual report 2009.
