Sale of shares pursuant to green-shoe option

ITOCHU Corporation, Scatec Invest AS and Scatec Solas Ansatte AS have sold
shares in Scatec Solar ASA (the "Company") in accordance with a green-shoe
option granted to the managers for the initial public offering and listing of
the Company as previously announced. The sale pursuant to the green-shoe option
is carried out at a price per share of NOK 19 and includes the sale of:

* 227 052 shares by ITOCHU Corporation. ITOCHU Corporation holds 20 268 657
shares in the Company subsequent to the sale, corresponding to a
shareholding of approximately 21.60%.
* 51 184 shares by Scatec Invest AS. Scatec Invest AS holds 921 106 shares in
the Company subsequent to the sale, corresponding to a shareholding of
approximately 0.98%.
* 8 531 shares by Scatec Solar Ansatte AS. Scatec Solar Ansatte AS holds
153 517 shares in the Company subsequent to the sale, corresponding to a
shareholding of approximately 0.16%.

None of ITOCHU Corporation, Scatec Invest AS or Scatec Solar Ansatte AS owns any
rights to acquire shares in Scatec Solar ASA. Subsequent to the sale, Scatec AS,
together with Scatec Invest AS and Scatec Solar Ansatte AS, own 27 651 937
shares in the Company, corresponding to a shareholding of approximately 29.57 %.
