Oslo, 26 May 2025: In connection with Spir Group ASA's (the "Company") annual general meeting to be held on 28 May 2025 (the "AGM"), the chair of the board of directors of the Company, Rolv Erik Ryssdal, has received voting proxies without voting instructions for 15,099,397 shares and votes at the AGM, representing 11.38% of the Company’s outstanding shares and votes. The voting proxies received are only valid for the AGM and lapse automatically after the AGM is concluded.
In addition, Rolv Erik Ryssdal controls, directly and indirectly through Barney Invest AS, a total of 1,840,969 shares and votes in the Company, equal to 1.39% of the Company’s outstanding shares and votes, which, together with the voting proxies received as referred to above means that Ryssdal controls 16,940,366 shares and votes, equal to 12.77% of the Company’s outstanding shares and votes, at the AGM.
