PSI Group ASA sells its InStore IT shares, and receives MNOK 49.8
This announcement is prepared and published in accordance with section 3.4 of
the Continuing Obligations of stock exchange listed companies.
PSI Group ASA and Visma AS have signed an agreement today, where PSI Group ASA
sells their shares in the five InStore IT companies to Visma Norge Holding AS
for MNOK 49.8. PSI Systems AS and Visma Retail have simultaneously agreed to
continue the long-term service cooperation in the regions in Norway through
these companies.
The InStore IT concept consists of five companies with approx. 85 employees who
together provide service to the retail industry in the regions in Norway. Visma
Retail AS and PSI Group ASA owned from 30 per cent to 40.55 per cent each in the
four InStore IT companies in Sør, Vest, Innland and Nord (associated companies).
In addition PSI Group ASA owned 80 per cent in the InStore IT company Midt-Norge
(subsidiary).
In the accounts the profit contribution after tax from associated companies have
been reported as income, while the subsidiary in Midt-Norge has been
consolidated.
The InStore IT companies will continue to operate as today and be PSI Systems AS
service partner in the regions outside PSI Systems own service area.
PSI Group ASA's reported service revenues and results will not be affected by
the sale, with the exception of the future loss of profit contribution after tax
from associated companies and the loss of consolidation of the subsidiary.
Accounting effects are listed in the appendix.
PSI's central service and support organization will continue to be owned by PSI
Systems AS, with its base at Rælingen. These 25 employees will continue to cover
the central eastern Norway where PSI has its own service organization - as well
as continue to provide support to both InStore IT and customers directly.

our customers, through an extension of the existing agreement with Visma and the
InStore IT companies, are secured the same service and the same competitive
conditions as they have been accustomed to for the past 8 years."
The sale will result in a gain of approx. MNOK 34 which will be accounted for in
the financial statements for the second quarter - which will be published 10
July.
The agreement is subject to the approval by the Competition Authority.
The time for closing of the transaction have not been determined, but is
expected within the first week of July 2013. The purchase price will be paid in
cash.
