Reference is made to the stock exchange announcement published by Tekna Holding ASA (the "Company") earlier today, 18 November 2025, regarding the commencement of the subscription period in the fully underwritten rights issue of 100,000,000 new shares in the Company, at a subscription price of NOK 3.00 per share to raise gross proceeds of NOK 300 million (the "Rights Issue").
As part of this process, certain primary insiders, and certain close associates of primary insiders, of the Company have subscribed for offer shares.
At present, the following primary insiders, including their close associates, have in total subscribed for 777,149 offer shares at the subscription price of NOK 3.00.
Tibidabo Invest AS, a company closely associated with Dag Teigland, Chair of the Board of Directors of the Company, has on 18 November 2025 (over)subscribed for 666,666 offer shares at the subscription price.
Tibidabo Industrier AS, a company closely associated with Dag Teigland, Chair of the Board of Directors of the Company, has on 18 November 2025 subscribed for 48,639 offer shares at the subscription price.
Lomo Plata AS, a company closely associated with Torkil Sigurd Mogstad, Observer of the Board of Directors of the Company, has on 18 November 2025 subscribed for 40,892 offer shares at the subscription price.
Damgløtt AS, a company close associated with Ann-Kari Amundsen Heier, member of the Board of Directors of the company, has on 18 November 2025 subscribed for 13,336 offer shares at the subscription price.
Arina van Oost, VP Corporate Strategic Development, has on 18 November 2025 subscribed for 7,616 offer shares at the subscription price.
A stock exchange announcement with final subscription and allocation, including allocation to primary insiders, will be published following completion of the subscription period.
