Oslo, 17 October 2024 – Reference is made to the offer document dated 19 August 2024 (the "Offer Document") by Edison Bidco AS (the "Offeror"), an indirect subsidiary of AI Volt (Luxembourg) Sàrl, a vehicle formed by funds managed and/or advised by Advent International, L.P. and/or certain of its affiliates ("Advent International") and funds managed and/or advised by Generation Investment Management LLP ("Generation Investment Management"), for the voluntary cash tender offer to acquire all of the outstanding shares (the “Shares”) in Volue ASA ("Volue" or the "Company") (the "Offer") at a price of NOK 42.00 per Share (the "Offer Price"). Reference is further made to the announcement dated 11 October 2024 regarding the last and final extension of the acceptance period for the Offer (the "Acceptance Period") to 16 October 2024 at 16:30 (CEST). Reference is also made to the announcements published on 7 October 2024 and 11 October 2024 regarding the Offeror's receipt of all required regulatory approvals and the Offeror's waiver of the minimum acceptance condition of the Offer, along with the simultaneous settlement notification, respectively (the "Settlement Notification").
The Acceptance Period expired at 16:30 (CEST) on 16 October 2024.
At the expiry of the Acceptance Period, the Offeror had received ordinary acceptances of the Offer for a total of 56,001,169 Shares, representing approximately 38.9% of all Shares. Including Shares under irrevocable undertakings by Arendals Fossekompani ASA pursuant to a contribution agreement entered into with the Offeror and irrevocable pre-acceptances from certain shareholders in Volue, the Offeror has secured a total of 142,317,948 Shares, accounting for approximately 98.9% of all Shares.
Please note that the calculation of the number of Shares tendered in the offer is preliminary and is subject to change until the VPS accounts of the Volue shareholders having accepted the Offer, are debited and such Shares having been transferred to the escrow account of ABG Sundal Collier ASA (the "Receiving Agent"). Furthermore, the final result of the Offer is subject to customary verification by the Receiving Agent. The final result of the Offer will be announced once confirmed by the Receiving Agent.
Settlement of the Offer will be made pursuant to the terms of the Offer Document and will take place no later than 8 November 2024, being twenty (20) business days after the Settlement Notification, subject to the remaining Closing Conditions, as set out in Section 2.8 ("Conditions for completion of the Offer") in the Offer Document, remaining fulfilled or being waived (at the Offeror's sole discretion) until settlement of the Offer. Upon completion of the Offer, subject to the Closing Conditions, the Offeror intends to proceed with a compulsory acquisition of the remaining Shares pursuant to section 4-25 of the Norwegian Public Companies Act and section 6-22 of the Norwegian Securities Trading Act.
