Proxies Extraordinary General Meeting

Thomas Wilhelmsen (Chairman of the board of directors
of Wilh. Wilhelmsen ASA - the "Company") has been
assigned voting rights in connection with the
extraordinary general meeting, based on proxies for a
total of 161 618 218 shares in the Company. The
proxies, that are without voting instructions, apply
exclusively to the extraordinary general meeting in
the Company, to be held Wednesday 27 November 2013.

This entails that Thomas Wilhelmsen has proxies
holding voting rights of 73,46 % of the votes in the
Company. In addition, Thomas Wilhelmsen owns through
his related party company Kiro Invest AS shares in
the Company, representing 0,02 % of the votes in the
company. Hence, Mr. Wilhelmsen represents a total of
161 660 218 shares, equal to 73,48 % of the shares at
the extraordinary general meeting.
