Oslo, 5 September 2023: Reference is made to the stock exchange announcements published by XXL ASA (the "Company") 22 and 23 August 2023, regarding the commencement of the subscription period in the rights issue (the "Rights Issue") and the receipt of subscription rights in the Rights Issue by certain primary insiders and certain close associates of primary insiders of the Company.
The Company has been informed that the following close associates to a primary insider of the Company have subscribed for new shares:
Altor Invest 5 AS, a close associate to primary insider and member of the board of directors, Tom Christian Jovik, has on 5 September 2023, exercised 79,078,978 subscription rights in the Rights Issue, entitling Altor Invest 5 AS to be allocated 79,078,978 offer shares in the Rights Issue at a price per offer share of NOK 0.40, subject to the Rights Issue being completed. In addition, Altor Invest 5 AS has today oversubscribed for 25,000,000 additional offer shares at a price per offer share of NOK 0,40.
Altor Invest 6 AS, a close associate to primary insider and member of the board of directors, Tom Christian Jovik, has on 5 September 2023, exercised 79,078,977 subscription rights in the Rights Issue, entitling Altor Invest 6 AS to be allocated 79,078,977 offer shares in the Rights Issue at a price per offer share of NOK 0.40, subject to the Rights Issue being completed. In addition, Altor Invest 6 AS has today oversubscribed for 25,000,000 additional offer shares at a price per offer share of NOK 0,40.
