Nordic Capital Partners IV AS ("NCP") has resolved to
distribute 4,151,450 of its shares in Zalaris ASA
("Zalaris") to its shareholders by way of a dividend
with effect on or around 26 June 2014. Following such
distribution, NCP will own 125,265 Zalaris shares,
corresponding to 0.66% of the votes and shares in the
company.
As a result of the mentioned distribution, Ingerø
Reiten Investment Company AS will become the owner of
1,310,575 Zalaris shares (equal to 6.85% of the votes
and shares), JBN Partner Invest AS will become the
owner of 42,300 Zalaris shares (equal to 0.22% of the
votes and shares) and Reiten Investment Company AS
will become the owner of 190,500 Zalaris shares
(equal to 1% of the votes and shares), all of which
are controlled by Narve Reiten, a board member of
Zalaris. Accordingly, Narve Reiten will as a result
thereof indirectly control in aggregate 1,543,375
Zalaris shares, corresponding to 8.07% of the votes
and shares in the company.
