Tegningsperioden i fortrinnsrettsemisjonen i Aasen
Sparebank ble avsluttet fredag 25. november 2016 kl
16:30, norsk tid, og foreløpig resultat av emisjonen
ble meldt 28. november 2016.
Endelig antall tegnede egenkapitalbevis ble 600 822.
440 000 egenkapitalbevis ble tilbudt, og
fortrinnsrettsemisjonen ble følgelig overtegnet med
36,6 prosent.
437 630 egenkapitalbevis, som utgjør 99,5 prosent av
de tilbudte nye egenkapitalbevisene i
fortrinnsrettsemisjonen, er tegnet ved utøvelse av
tegningsretter.
Styret i Aasen Sparebank har i dag foretatt
tildelingen av egenkapitalbevisene tilbudt i
emisjonen. Tildelingen er gjennomført i samsvar med
tildelings-kriteriene inntatt i prospektet datert 2.
november 2016. Det er ikke gjort noen tildeling til
tegnere uten tegningsretter.
Det vil i dag gå ut brev om tildeling av nye
egenkapitalbevis og det korresponderende
tegningsbeløpet som skal betales av hver enkelt
tegner. Tegningsbeløpene forfaller til betaling 5.
desember 2016, jfr.
Betalingsprosedyrer beskrevet i prospektet.
De nye egenkapitalbevisene kan ikke overføres eller
handles før de er betalt fullt ut og
kapitalforhøyelsen i fortrinnsrettsemisjonen er
registrert i Foretaksregisteret.
Forutsatt rettidig betaling av det totale
emisjonsprovenyet, forventes det at registrering i
Foretaksregisteret vil skje ca. 12. desember 2016. De
nye egenkapitalbevisene ventes samme dato å bli
overført til VPS-kontoene til hver enkelt tegner og
ventes også å bli notert på Merkur Markets på eller
omkring denne datoen.
Den nye eierandelskapitalen i Aasen Sparebank vil
etter registreringen av kapitalforhøyelsen være NOK 84
000 000 fordelt på 840 000 egenkapitalbevis, hvert
pålydende NOK 100.
Aasen Sparebank vil som følge av
fortrinnsrettsemisjonen motta et proveny på 44,88
millioner kroner før fradrag for
transaksjonskostnader.
