With respect to the exceeding of the threshold of 50% of the voting rights
as notified on 31 January 2012, Mr. Andreas F.J. Obereder informed us on 27
February 2012 pursuant to § 27a para. 1 WpHG (Securities Trading Act) as
follows:
'1. Aims underlying the acquisition of the voting rights (§ 27a para. 1
sent. 3 WpHG)
a. After the exceeding of the threshold of 50% of the voting rights, a
long-term strategic engagement in ATOSS Software AG is still pursued.
b. The notifying party is currently not aiming at a further increase of its
voting rights in ATOSS Software AG within the next twelve months by means
of a purchase or any other means.
c. The notifying party is still intending to influence the composition of
the management board and the supervisory board by means of exercising its
voting rights in the general meeting.
d. The notifying party does currently not intend to achieve a material
change in the issuer's capital structure, in particular as regards the
ratio between own funds and external funds. As regards the dividend policy,
the notifying party still intends that the company pays dividends that are
reasonably suitable to the economic success of the company.
2. Origin of the funds used (§ 27a para. 1 sent. 4 WpHG)
The acquisition of the voting rights in ATOSS Software AG, which resulted
in the exceeding of the threshold of 50%, occurred by means of a donation.
