SFC Energy AG issues Convertible Bond 2015/2018 of EUR 1,650,000.00
Brunnthal/München, Deutschland, December 18, 2015 - Based on the resolution
of the ordinary general meeting of 7 May 2015, the Management Board of SFC
Energy AG (the Company) has resolved, with the approval of its Supervisory
Board, to issue a convertible bond in the initial aggregate amount of EUR
1,650,000.00 with a term of three years until 2018. The convertible bond
will be divided into bonds in bearer form with a nominal amount of EUR
50,000.00. The shareholders' subscription rights were excluded. The total
nominal amount can be increased up to EUR 5,000,000.00 subject to a further
resolution by the Management Board by way of a tap issue.
The partial convertible bonds shall bear interest on their principal amount
at the rate of 4.0 % per annum, payable semi-annually. The issue price was
set at 90.0 % of the nominal value. Each partial convertible bond has
attached to it a conversion right granting the right to acquire shares in
the Company each with a notional amount of EUR 1.00 in the share capital at
a conversion price of EUR 6.10. This is a conversion premium of 36.0 %
based on yesterday's closing price of the shares of the Company.
The partial convertible bonds were subscribed by existing investors by way
of a private placement. The inclusion of the bond in open market trading of
the Frankfurt Stock Exchange is planned.
