On April 30, 2013, Software AG was notified by FIL Investments
International on behalf of a) FMR LLC, Boston, USA, b) Fidelity Management
and Research Company, Boston, USA and c) Fidelity Low-Price Stock Fund,
Boston, USA pursuant to section 21 para. 1 WpHG of the following:
a) On April 25, 2013, the voting rights held by FMR LLC, Boston, USA, fell
below the threshold of 3% of the voting rights in Software AG,
Uhlandstrasse 12, 64297 Darmstadt, Germany. On that date, FMR LLC held
2.88% of the voting rights in Software AG (this corresponds to 2,500,186
voting rights).
All voting rights in Software AG were attributed to FMR LLC pursuant to
section 22, para. 1, sentence 1, no. 6 in connection with sentence 2 WpHG.
b) On April 25, 2013, the voting rights held by Fidelity Management &
Research Company, Boston, USA, fell below the threshold of 3% of the voting
rights in Software AG, Uhlandstrasse 12, 64297 Darmstadt, Germany. On that
date, Fidelity Management & Research Company held 2.76% of the voting
rights in Software AG (this corresponds to 2,400,000 voting rights).
All voting rights in Software AG were attributed to Fidelity Management &
Research Company pursuant to section 22, para. 1, sentence 1, no. 6 WpHG.
c) On April 25, 2013, the voting rights held by Fidelity Low-Price Stock
Fund, Boston, USA, fell below the threshold of 3% of the voting rights in
Software AG, Uhlandstrasse 12, 64297 Darmstadt, Germany. On that date, by
Fidelity Low-Price Stock Fund held 2.76% of the voting rights in Software
AG (this corresponds to 2,400,000 voting rights).
