SOFTWARE AG PROPOSES HIGHER DIVIDEND AND ANNOUNCES INCREASED PAY-OUT RATIO
Darmstadt, Germany, March 9, 2015 - Software AG's (FRA: SOW) Executive
Board and Supervisory Board will propose at the Annual General Meeting on
May 13, 2015 a dividend payment of EUR0.50 per share (prev. year: EUR0.46)
for fiscal 2014, an increase of 9 percent.
On the current basis of 78.9 million shares (prev. year 83.0 million)
entitled to a dividend, the total payout would be around EUR39.5 million
(prev. year EUR36.3 million). The payout ratio based on the average of free
cash flow and group net income would increase to 32 percent (prev. year 26
percent). Based on the closing share price in 2014, this proposal is equal
to a dividend yield of about 2.5 percent.
For fiscal 2014 Software AG suggests to increase the dividend per share and
pay tribute to the idea of value orientation. Software AG also decided to
raise its existing pay-out ratio going forward to 25 to 33 percent (from 20
to 25 percent) of the averaged net income and free cash flow. Software AG's
dividend policy is related to the long-term development of the company. The
dividend is based on reported net income and free cash flow on one hand and
the necessary financial requirements for further investments on the other.
