Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— Hamburg, 24.02.2000 – Norddeutsche Affinerie Aktiengesellschaft makes an offer to the outside holders of shares in Hüttenwerke Kayser AG, Lünen, for the acquisition of their shares at a price of Euro 69.30. Norddeutsche Affinerie currently holds an about 97.8 % stake in the share capital of Hüttenwerke Kayser AG. As Hüttenwerke Kayser’s new majority shareholder, Norddeutsche Affinerie wishes to make the outside holders of Hüttenwerke Kayser shares a fair offer to part with their shares by selling them to Norddeutsche Affinerie. The acceptance period for the voluntary public purchase offer begins on 29.02.2000 and ends on 31.03.2000 (inclusive). On 10.09.1999 in a detailed press release Norddeutsche Affinerie made public inter alia the planned takeover of Hüttenwerke Kayser and, in so doing, for the first time announced a public purchase offer for the acquisition of Hüttenwerke Kayser shares from the outside holders. The purchase price now offered in the amount of Euro 69.30 per Hüttenwerke Kayser ordinary bearer share is Euro 6.30 or 10 % more than the highest closing price of Hüttenwerke Kayser ordinary bearer shares in the last 3 months prior to 10th September 1999, which was Euro 63.- (on 09.06.1999). In addition, the purchase price offered is Euro 17.30 or about 33 % more than the closing price of Hüttenwerke Kayser ordinary bearer shares on the Berlin Stock Exchange on 9th September 1999 – the day before the purchase offer was announced – when they closed at Euro 52.-. The aforementioned premium also indicates the trend in the SDAX (price index) in the period from 9th June 1999 until 23rd February 2000. During this period the SDAX (price index) rose by about 9 % (status 23.02.2000).
