Norddeutsche Affinerie AG: Norddeutsche Affinerie launches capital increase

The issuer is solely responsible for the content of this announcement. —————————————————————————— Hamburg, 31 January 2006 – Norddeutsche Affinerie AG plans to place up to 3,340,919 million shares from a capital increase. The Executive Board and Supervisory Board of Norddeutsche Affinerie AG have decided to increase the subscribed capital of the company, on the basis of the authorisation given at the Annual General Meeting on 31 March 2005, against contribution in cash of up to 10 %, with the exclusion of preemptive rights. The shares will be placed through an accelerated bookbuilding process to German and international institutional investors. Dresdner Kleinwort Wasserstein is acting as sole bookrunner for the transaction. The issue price and the placement volume of the shares will be published in a separate ad-hoc announcement. The proceeds from the capital increase is intended to be primarily used to enhance the company’s performance by the prospected construction of its own power plant at the headquarters in Hamburg and, in particular, to realise international projects, such as the intended joint venture in China, as well as for the planned capacity expansion at the Hamburg site.
