SURTECO AG RESOLVES CAPITAL INCREASE Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– The Management Board of SURTECO AG, Buttenwiesen-Pfaffenhofen (SIN 517690) on the evening of August 20, 2002, has resolved by approval of the Supervisory Board a resolution to increase the equity capital of the company from Euro10,575,522 by up to Euro 2,643,880 against cash contributions with subscription rights at a ratio of 4:1 to a total of Euro 13,219,402 by issuing up to 2,643,880 new shares. The subscription period is intended to run from September 9, 2002 to September 23, 2002. Existing shareholders intend to transfer subscription rights for new shares up to a volume of 2,470,053 allocated to them to a banking syndicate under the management of the HypoVereinsbank AG. These shares will then be made available for placement with a broad range of investors. Furthermore, an additional volume of up to 270,000 shares are to be made available for placement as greenshoe from the authorised capital under exclusion of subscription rights. Revenues resulting from the capital increase will be used to strengthen the company’s equity basis and to generate a financial framework for further acquisitions. After the successful implementation of the capital increase the free float of currently 7.6% will increase as high as 27%.
