The issuer is solely responsible for the content of this announcement. ——————————————————————————– Süss MicroTec AG: Change in shareholder structure Munich, June 1st, 2001: Alpha, the pre IPO finance investor of Süss MicroTec AG, invested since September 1997, has reduced its stake from 8.5% to practical zero. With this transaction the exit of the private equity investor of Süss MicroTec took place. In a private placement, executed by ABN AMRO Rothschild, using an accelerated book building procedure, a total number of 2,065,720 shares have been placed mainly with blue chip investors in Europe and in the United Sates. More than 50% of theses shares came from Alpha. In order to optimize their personnel tax duties, with respect to the upcoming change in the German tax law (@17 EStG), members of the Süss family as well as Süss employees took the chance to sell some of their shares capital gain tax free. Dr. Franz Richter, CEO of Süss MicroTec AG, reduced his stake from 3.9% down to 3% by selling 125,000 shares. This was the first time that Dr. Richter sold any of his shares since his investment during the Management Buy Out in September 1997, financed through a private bank loan. Dr. Richter does not plan to place any further shares into the market for the rest of the year. The background of the placement from individual shareholders was only due to tax optimization or personal reasons and had no relations to any business expectations of the company. Süss MicroTec has reported impressive results during the last month and quarters with steadily increased sales and earning numbers compared to the same period of previous years.
