Travel24.com: issue of participation rights

The issuer is solely responsible for the content of this announcement. —————————————————————————— Munich – February 22nd, 2006 – Travel24.com AG widens its financial scope by issuing participation rights in a nominal value of up to EUR 357,685 and a total amount issued of up to EUR 1,073,055. The securities have a term of 3 years. The zero-coupon participation rights are offered to shareholders at a subscription ratio of 4.5 to 1, i.e. shareholders are entitled to obtain 1 participation right with a nominal value of EUR 1.00 issued at EUR 3.00 for every 4.5 shares held in Travel24.com AG. In addition to the statutory subscription right, shareholders are entitled to oversubscribe. The security bears an interest in a possible turnover tax refund. The rights offer along with further details will probably be published on February 24th in the electronic Federal Bulletin.
