United Internet AG (ISIN: DE 000 508 903 1), Montabaur, and WEB.DE AG (ISIN: DE 000 529 650 3), Karlsruhe, today signed agreements concerning the comprehensive alliance between the two companies on the conditions already announced on March 16, 2005. The deal will lead to the creation under the United Internet umbrella of Germany’s largest player in the internet services and portal market – with regard to both reach and the volume of advertising space offered. Within the scope of the alliance, WEB.DE will focus exclusively on the development of the Web Telecommunications segment, which aims to launch the next generation of the Com.Win product family during the current year. The object of the alliance is the takeover of WEB.DE AG’s Internet Portal business segment with all employees, technologies, assets as well as trademarks and licenses for a cash sum of EUR 200 million plus 5.8 million United Internet AG shares. Alternatively, should specific conditions apply, an amount of 2 million United Internet shares and an additional cash sum of EUR 100 million can be paid instead of the 5.8 million shares. As part of the takeover of the business segment, both companies also declared their firm intention to sign an agreement concerning the marketing of the next generation of WEB.DE AG’s Web Telecommunication products. The transfer of WEB.DE AG’s portal business to the United Internet Group, application for which has already been filed with the respective antitrust authorities, is still subject to the usual approval from the Supervisory Board committees of both companies as well as from the antitrust authorities. The transaction will also have to be approved by the annual shareholders’ meeting of WEB.DE AG. The contracts are expected to be closed during the third quarter of 2005.
