SPORTTOTAL AG decides Capital Increase

– Gross issuing proceeds of up to around EUR 7.98 million envisaged

– Funds earmarked for growth financing of sporttotal.tv

Cologne, November 6, 2017. With the approval of the Supervisory Board, the Management Board of Cologne-based _SPORTTOTAL AG has today decided on a capital increase from Authorized Capital, to the exclusion of shareholder subscription rights.

The capital stock is to be raised from currently EUR 19,468,663 by up to EUR 1,946,666.00 against cash contribution through issuing up to 1,946,666 new no-par value bearer stocks representing a pro rata amount in the capital stock of EUR 1.00 per stock. The new stocks qualify for profit participation from January 1, 2017 onward.

The placement price was fixed at EUR 4.10 per stock by the Management Board, with the approval of the Supervisory Board. The gross issuing proceeds would therefore amount to up to EUR 7.98 million. The new stocks will be offered for purchase to institutional investors in the context of a private placement in Germany and in other European countries.

The issuing proceeds from the capital increase are to be used to finance the growth of sporttotal.tv.
