Rhein Biotech N.V.: merger procedure dates

The issuer is solely responsible for the content of this announcement. —————————————————————————— Maastricht, December 1, 2006 Merger Rhein Biotech N.V. with Crucell subsidiary to be effected on December 27th 2006 As announced on November 16th 2006, Rhein Biotech N.V has proposed to legally merge with a (directly and indirectly) wholly owned subsidiary of Crucell N.V. Shareholders of Rhein Biotech N.V. will in exchange for each share in Rhein Biotech N.V. receive 1.158 shares in Crucell N.V. A general meeting of shareholders of Rhein Biotech N.V. will be held on December 22, 2006 in order to resolve to effect the legal merger. After finalizing certain legal formalities the notarial deed of merger will be executed on December 27, resulting in Rhein Biotech N.V. ceasing to exist one day later and therefore its shares being delisted from the Frankfurt stock exchange. On December 28, the relevant number of Crucell N.V. shares will be delivered to the persons holding Rhein Biotech N.V. shares at the end of the last trading day (December 27, 2006), with any remaining fraction to be settled in cash. For holders of bearer shares, such settlement will be effected in a central way through the book-entry facilities of Clearstream Banking A.G. and its participants. Shareholders do not have to take any action themselves. Please find below the timetable with the relevant key dates.
