Security and Process Management
BETA Systems Software AG, Berlin, a leading developer of
innovative systems management software products, completed
the acquisition of HARBOR Systems Management, Ltd. (“HARBOR”)
on December 31, 1998. HARBOR will operate as a new subsidiary
under the name BETA Systems of Canada, Ltd. The cost of the
acquisition, including performance-related compensations, is
approximately DM 33 million. Certain charges associated with
the acquisition, primarily related to in-process research and
development, will be accounted for in 1998.
HARBOR, provides solutions for distributed storage management,
currently employs 65 people and has an installed base of over
350 customers worldwide. HARBOR solutions integrate the UNIX
and NT processing platforms with the OS/390 host as well as
operating on a stand-alone basis. The centerpiece of HARBOR’s
product line, HARBOR Network Storage Manager (NSM), is a multi-tier,
multi-platform enterprise backup system. Such systems meet an urgent
market need for storing data from distributed applications such
as SAP R/3, Lotus Notes, Oracle and Microsoft Exchange.
With products such as HARBOR NSM, BETA Systems can offer a seamless
product line to its traditional customer base as well as to a new
set of clients.
The acquisition of HARBOR fits well with BETA Systems’ strategy to
expand its current Storage Management product line to include storage
products for distributed systems.
BETA Systems also has enterprise applications for its Document, Security
and Process Management product offerings. Recently announced partnerships
with NorCom and QMaster Solutions move BETA Systems into the market for
distributed systems management in all three of these areas.
“The acquisition of HARBOR combined with the previously announced
cooperation agreements with QMaster and NorCom clearly signals the
extension of our systems management expertise to decentralized platforms
and positions us to benefit from the fast-growing UNIX and NT markets,”
said Christiane Hotz-Firlus, Chief Financial Officer of BETA Systems.
“We are pleased to consumate the transaction in an expeditious manner
and see great potential in the integration of the two companies.”
“By partnering with BETA Systems, we are furthering our strategy for
market growth by having access to a well-established direct sales force.
We believe BETA’s position in the market will help broaden our product and
service offerings for new and existing customers,” said Ben Dulley,
President and CEO of the new BETA Systems of Canada, Ltd. “We believe the
combination of BETA Systems and HARBOR provides an opportunity to take a
leadership position in the emerging distributed storage management arena,
as well as leverage both companies’ historical strengths with enterprise
systems.”
