Beta Systems to take over operational business of SYSTOR Security Solutions GmbH
Berlin/Cologne, February 11, 2003 – Beta Systems Software AG, Berlin, (Prime
Standard: BSS) is to assume control of the operational business of SYSTOR
Security Solutions GmbH, Cologne, a subsidiary of insolvent Systor AG, Zürich,
with immediate effect. The contract agreement provides for the acquisition of
all product rights of the Security Administration Manager (SAM) product line,
the acquisition of customer and service contracts, and the absorption of
approximately 80 employees in development, sales, and services at company
locations in Cologne and Washington D.C. SAM is used by many large-scale
enterprises in Germany, Europe, and North America for central and cross-system
administration of user rights. As a result, the planned consolidation of
management and sales activities will serve to bring about an immediate synergy
effect.
The operational business of SYSTOR Security Solutions GmbH had a narrow profit
margin in the 2002 financial year. As a result of its investments, Beta Systems
Software AG expects an additional revenue volume of around 10 million Euro for
the 2003 financial year, which is largely ensured by existing maintenance and
service contracts. Moreover, in addition to the purchase price of just over 1
million Euro, the company management anticipates integration costs of app. 1
million Euro in total in the first half of 2003, which can be financed using
current cash flow. The aim of achieving a sustainable increase in the Beta
Systems Group’s profitability in the first half of 2003 will not be affected by
the purchase.

With its Beta 88 zSecurity Suite products, the Data Center Management business
unit at Beta Systems is currently the market leader in Europe for software
products used to administer and test IBM RACF security systems. By integrating
SAM into the range of products offered by the Beta Systems business unit, it
will be possible to expand this IT security solution which is implemented on the
mainframe to include a company-wide and cross-platform security management
system. The administration of user rights for mainframe and other decentral
systems, such as SAP R/3 or Windows, can be centralized by means of role-based
assignment of rights via SAM, while supporting processes and increasing
efficiency at the same time.
