Notification and public disclosure of transactions by persons discharging managerial responsibilities ("PDMRs") and persons closely associated with them

The Company announces that on 6^th October 2021, the following PDMRs of the Company and persons closely associated with them were granted options over ordinary shares of 10p each in Company ("Shares") under the TClarke plc 2021 Save As You Earn Scheme ("the Scheme") as follows:

PDMRs:
Andy Griffiths, member of the Group Management Board (PDMR)	4,347 shares	124.2p per share
Rob Faro, member of the Group Management Board (PDMR)	4,347 shares	124.2p per share
Anton Malia, member of the Group Management Board (PDMR)	2,898 shares	124.2p per share
Sally Higgins, member of the Group Management Board (PDMR)	2,898 shares	124.2p per share

No consideration was paid for the grant of the options.  The Scheme was formally launched on 27^th August 2021 and was made available to all eligible employees.  The options have an exercise price of 124.2p per share, which represents a discount of 10% to the market price at close on 26^th August 2021, being the day preceding the Scheme launch.  Options may normally be exercised during the six months following the Maturity Date at the end of the three year savings period.  The Maturity Date is 1^st December 2024.  A total of 1,341,031 shares are under option for the Scheme.

In addition, persons closely associated with PDMRs of the Company were granted options over an aggregate of 6,665 Shares under the Scheme on the same terms.
