Rule 19.6(c) confirmation of post-offer intention statements
Nationwide announces that, further to the completion of its recommended all-cash offer for the entire issued and to be issued share capital of Virgin Money UK PLC ("Virgin Money") on 1 October 2024, which was effected by way of a Court-sanctioned scheme of arrangement, it has duly confirmed in writing to The Takeover Panel in accordance with the requirements of Rule 19.6(c) of the Code that it has complied with its post-offer intention statements made pursuant to Rule 2.7(c)(viii) and Rule 24.2 of the Code, save as detailed in its announcement on 23 May 2025 entitled "Update to Stated Post-Offer Intention Statements" made pursuant to Rule 19.6(b) of the Code, as originally detailed in its Rule 2.7 announcement dated 21 March 2024 and in the scheme document published by Virgin Money on 22 April 2024.
