NORD Holding acquires majority in Vivanco
Conditions for further growth ideal
NORD Holding Unternehmensbeteiligungsgesellschaft mbH, Hanover, has acquired
51.13 % of the share capital of Vivanco Gruppe AG, Ahrensburg. The know-how of
the owner-partners has been secured in the long term for the entrepreneurial
accompaniment of Vivanco by means of corresponding internal contractual
provisions. Former Chairman of the Board of Management, Elard Raben, will
switch to the Supervisory Board at the General Meeting as planned.
As reported, Vivanco succeeded last year in achieving growth of 33 % and has in
the 1st quarter of this year increased its turnover once again by 22 %. The
company is a systems suppliers for IT/TC accessory products and one of Europe’s
leading providers. For 2003 Vivanco plans turnover of DM 500 million with EBIT
at DM 38 million.
In addition to acquiring the share package, the new majority shareholder will
subscribe to more than 50 % of the jouissance share capital with an intended DM
30 million. This will ensure that, also following the complete conversion of
the jouissance share capital into shares, significantly more than 50 % is held
by NORD Hold, the owner-partners and the management.
NORD Holding Unternehmensbeteiligungsgesellschaft mbH already held an equity
stake in the company before it went public. The Managing Director of NORD
Holding and the incumbent Chairman of the Supervisory Board of Vivanco Gruppe
AG, Matthias Kues, commented on the motives: “Vivanco Gruppe AG will continue
to improve on its strong European market position over the coming years.
Particularly in view of future growth and profit potential, the shares are very
undervalued at the moment.”
