1,8 Mio. Vivanco Profit Participation Certificates successfully sold
30 Million DM Inflow of funds – High interest shown by private investors
The Vivanco Gruppe AG, Ahrensburg, completed its capital transaction
successfully. All together, 1.8 Million profit participation certificates were
sold at 8,50 Euro each, and purchased by institutional and private investors
both nationally and internationally. There was a surprisingly high interest
shown by small private investors despite the weak stock market. Clearly this
investor group was particularly interested in the high interest rate and
conversion privilege due to the currently low valuation of the Vivanco shares.
The company will use the proceeds of the issue of approximately 30 Million DM
to finance its organic growth as a leading ITK (Information technology and
Telecommunication) accessory supplier in Europe.
The profit participation certificates offer a return of 8 percent p.a. from the
year 2002 onwards which is significantly higher than the market bond rates.
For the remainder of 2001, an interest rate of 5 percent p.a. will be paid. As
additional incentive, the profit participation certificates carry a conversion
privilege of one to one for Vivanco shares, and can be converted after the
Shareholders’ meeting in 2002. The profit participation shares could be
subscribed to from the 17 to the 31 of July via the Falke Bank AG, Düsseldorf,
which took care of this capital transaction. The term of the profit
participation certificates is 4.5 years to 31.12.2005. The majority shareholder
in Vivanco, the Nord Holding Unternehmensbeteiligungsgesellschaft mbH, has
subscribed to the profit participation certificates at the level of its holding
of approximately 51%.
