Vivanco Gruppe AG excepts a balanced EBITDA (Earnings before Interest, Taxes, Depreciation and Amortisation) for the fiscal year 2006

The issuer is solely responsible for the content of this announcement. —————————————————————————— After a first half of the fiscal year 2006 which saw Vivanco’s business development meeting the expectations, order entries in the promotion business across Europe have developed below planning at the end of the third quarter with effects for the fiscal year 2006. Moreover, the results of Vivanco group will be adversely effected by restructuring costs for the French subsidiary which will exceed expectations. The expected turnover for 2006 will amount to about Euro 110 to 115 million and therefore be below the budget, which accounted for about Euro 123 million for 2006. Considering these developments the management board assumes Vivanco Gruppe AG to achieve a scarcely balanced EBITDA in the fiscal year 2006. These figures are slightly better than the EBITDA displayed in the interim report of 30 June 2006 (Euro -0.8 million), but below market expectations for the total year 2006, which according to the Company’s estimation could have been raised by earlier statements for instance at the general shareholders’ meeting in August 2006. The business development is effected by poor demand on the market for consumer electronics, which is below the expectations of the industry. The significant rise in the prices for resources, especially copper and crude oil, could be compensated by measures on the purchase side, resulting in a significantly improved unadjusted margin for the second half of the fiscal year. The contribution to the profit and loss derived from the successful completion of the financial restructuring of 30 June 2006 will result in a display of significantly positive group results. The restructured balance sheet of Vivanco Gruppe AG will still form a solid basis for an improved business development in the next business year 2007.
