Pinewood Technologies Group plc ("Pinewood.AI" or the "Company")

Completion of Acquisition of Lithia's Majority Stake in North America JV 

and

Admission of New Ordinary Shares

Further to the announcement made on 30 July 2025, Pinewood.AI is pleased to announce that the New Ordinary Shares issued to the Seller in connection with the Acquisition were admitted to the equity shares (commercial companies) category of the Official List of the FCA and to trading on the main market for listed securities of London Stock Exchange plc (together, "Admission"), with effect from 8.00 a.m. (London time) today.

Following Admission, all conditions to completion of the Acquisition have been satisfied and Pinewood.AI is pleased to confirm the completion of the Acquisition today.

There have been no material changes affecting any matters contained in the announcement of 6 June 2025.

Capitalised terms used but not defined in this announcement shall have the meanings given to them in the announcement of 30 July 2025.
