PDMR Exercise of Options and Share Sales

 

Executive Directors' holdings increase

 

Trifast plc (Symbol: TRI), the international fastenings group announces that on 26 June 2014, the Company issued 1,750,000 ordinary shares pursuant to the exercise of options by a number of Directors and employees under the Company's Unapproved 2009 Share Option Plan.  Subsequently these ordinary shares have been successfully placed by Arden Partners plc with a number of institutions, largely in order to meet Tax and NI obligations triggered on exercise.

 

The Directors notified the Company of the transactions pursuant to DTR 3.1.2 on 26 June 2014.  The resultant holdings of the PDMRs are as follows:

Following this exercise, the Executive Directors of the Company have increased their overall holdings in the Company.

 

As at today's date, the Directors and related party holdings in the Company total 3,564,529 ordinary shares representing 3.14% of the total ordinary share capital in the Company.

 

Total Voting Rights

For the purposes of the Disclosure and Transparency Rules, the Company's total issued share capital as at the today's date (27.6.14) was 113,454,406 ordinary shares of 5p each.

 

The total number of voting rights in the Company is therefore 113,454,406.  The figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FCA's Disclosure and Transparency Rules.
