Vossloh AG: Vossloh executes agreement on takeover of new rail services
business
Vossloh AG intends to add a Rail Services business unit to its lineup. To
this end, Vossloh has executed a sale and transfer agreement on the
acquisition of the Rail Services operations of the Stahlberg Roensch Group,
Seevetal near Hamburg, as well as LOG Logistikgesellschaft Gleisbau mbH and
ISB Instandhaltungssysteme Bahn GmbH of the Hannover-based Contrack Group.
The enterprise values underlying the takeover agreement are EUR100 million,
the agreed total price being the enterprise values less net financial debt
taken over as of December 31, 2009. The deal is subject to a confirming due
diligence report and the approval by Vossloh's Supervisory Board and the
antitrust authority.
The acquisition covers companies at seven German locations, specializing in
complex logistics solutions, welding and preventive maintenance of rails
and with estimated sales of altogether EUR80 million in the current fiscal
year.
